Explanation of responses
- F1The reporting person acquired restricted stock units (RSUs) under the Company's Non-Employee Director Deferred Compensation Plan with money deferred by the reporting person for services earned as a director. Each RSU is the economic equivalent of one share of common stock. The RSUs are convertible into common stock of the Company on a one-for-one basis upon distribution from the Plan upon termination of services as a director. The decision to acquire RSUs is irrevocable.
