Explanation of responses
- F1Non-employee directors receive an annual grant of Restricted Stock Units (RSUs) under CSC's Non-Employee Director Incentive Plan. Each RSU represents a contingent right to receive one share of CSC common stock. The securities reflected in Table I (i) were granted to the reporting person as RSUs on July 15, 2015 with respect to such reporting person's service as a Non-Employee Director prior to the 2015 annual meeting of stockholders,(ii) vested at the annual meeting of stockholders held on August 14, 2015, and (iii) settled by delivery of CSC common stock.
