Explanation of responses
- F1Reflects the 181,750 Class A ordinary shares of Disciplined Growth Acquisition Corporation (the "Issuer") that are included in the 181,750 private placement units of the Issuer purchased by Disciplined Growth Sponsor LLC ("Sponsor"), with such private placement units comprised of 175,000 private placement units issued on May 28, 2026, in connection with closing of the Issuer's initial public offering and 6,750 private placement units issued on June 4, 2026, in connection with the partial exercise of the underwriter's over-allotment option. Each private placement unit was purchased for $10 per unit and consists of one Class A ordinary share and one right to receive one-fourth (1/4) of one Class A ordinary share upon consummation of the Issuer's initial business combination.
- F2The Sponsor is the record holder of the shares reported herein. Robert Wotczak, the Chief Executive Officer of the Issuer, is the Managing Members of the Sponsor and holds voting and investment discretion with respect to the ordinary shares held of record by the Sponsor. As such, Mr. Wotczak may be deemed to have beneficial ownership of the securities held of record by the Sponsor. Mr. Wotczak disclaims any beneficial ownership of the securities held of record by the Sponsor other than to the extent of any pecuniary interest they may have therein, directly or indirectly.
- F3Represents the 45,437 Class A ordinary shares, which may be acquired by Sponsor upon the conversion of 181,750 rights (included in the Sponsor's private placement units) upon consummation of the registrant's initial business combination. As described in the Registration Statement under the heading "Description of Securities-Share Rights," each right will automatically convert into one-fourth (1/4) of one Class A ordinary share upon consummation of the registrant's initial business combination, subject to certain adjustments described therein and have no expiration date. No fractional Class A ordinary shares will be issued upon conversion of such rights.
