Explanation of responses
- F1The Class B ordinary shares are automatically convertible into the shares of the Issuer's Class A ordinary shares at the time of the Issuer's initial business combination on a one-for-one basis, subject to adjustment pursuant to certain anti-dilution rights, and have no expiration date.
- F2In connection with the Issuer's initial public offering, Leader's Advantage Company, LLC (the "Sponsor") assigned an aggregate of 95,000 Class B ordinary shares to each of its officers (other than Dr. Paritosh M. Chakrabarti), newly appointed independent directors and certain advisors at a price of $0.006 per share.
- F3These Class B ordinary shares are held directly by the Sponsor. Dr. Paritosh M. Chakrabarti is the sole managing member of the Sponsor and holds voting and dispositive control over the shares held by the Sponsor and may be deemed the beneficial owner of such shares. These shares include an aggregate of 562,500 shares that are subject to forfeiture to the extent that the underwriters do not exercise their over-allotment option in connection with the registrant's initial public offering in full within 45 days of the closing of the initial public offering. Dr. Chakrabarti disclaims beneficial ownership over any securities owned by the Sponsor in which he does not have any pecuniary interest.
