Explanation of responses
- F1Represents shares withheld upon the vesting of performance stock units ("PSUs") to pay tax withholding obligations. The performance condition of the then-outstanding PSUs was deemed satisfied on March 2, 2026, in connection with the Registrant's initial listing on the New York Stock Exchange, and those PSUs were reported in Table I of the Reporting Person's Form 4 filed on March 3, 2026.
- F2This Form 4 amendment is being filed to correct an administrative error resulting in 784 fewer shares being withheld than intended to satisfy the tax withholding obligations of the Reporting Person. The Reporting Person's total beneficial ownership following the reported transaction in Column 5 of Table I has been adjusted to reflect the corrected withholdings. As of the filing of this amendment, the Reporting Person directly beneficially owns 37,488 shares of common stock.
