Explanation of responses
- F1On December 2, 2024, Mr. Kwok Yiu Fai, Mr. Kwok Yiu Keung and Mr. Kwok Yiu Wah ("Controlling Shareholders") entered into an Acting in Concert Agreement pursuant to which they undertake to act in concert in relation to all matters that require the decisions of the shareholders of the Issuer. As a result of the Acting in Concert Agreement, our Controlling Shareholders collectively own 12,000,000 class A ordinary shares and 4,500,000 class B ordinary shares.
- F2Each share of Class B Ordinary Shares held by the Reporting Person will automatically convert into one share of Class A Ordinary Shares upon the sale or transfer of such share of Class B Ordinary Shares, subject to certain exceptions, and in certain other circumstances described in the Issuer's amended and restated certificate of incorporation. Each share of Class B Ordinary Shares will also be convertible at any time at the option of the Reporting Person into one share of Class A Ordinary Shares.
