Explanation of responses
- F1Common stock disposed of pursuant to the Agreement and Plan of Merger, dated as of June 30, 2015, by and among ACE Limited ("ACE"), William Investment Holdings Corporation and The Chubb Corporation ("Merger Agreement"), in exchange for $62.93 per share in cash and 0.6019 shares of ACE stock per share.
- F2Pursuant to the Merger Agreement, market value units are assumed by ACE and converted into market value units relating to the number of ACE common shares determined in accordance with the adjustment mechanism set forth in the Merger Agreement. Market Value Units represent fees deferred under The Chubb Corporation Directors Deferred Compensation Plan. Units are payable in common stock only and the value of such units are based on the market value of the Corporation's common stock.
- F3Pursuant to the Merger Agreement, stock units deferred are assumed by ACE and converted into stock units deferred relating to the number of ACE common shares determined in accordance with the adjustment mechanism set forth in the Merger Agreement. Stock units deferred represent vested shares of stock for which receipt was voluntarily or mandatorily deferred, as applicable. One stock unit is the equivalent of one share of common stock.
