The grant was exempt from Section 16(b) of the Securities Exchange Act of 1934 pursuant to Rule 16b-3 promulgated thereunder, having been approved by the Compensation Committee of the Issuer's Board of Directors. The options vest in equal quarterly installments over a three-year period from the grant date, in each case subject to the Reporting Person's continued employment with the Issuer or a subsidiary through the applicable vesting date.
