Explanation of responses
- F1Represents the annual director retainer grant of restricted stock units ("RSUs"). Each RSU represents a contingent right to receive one share of the Issuer's Class A Common Stock upon settlement. The RSUs will vest on the earlier of (i) the date of the next annual meeting of stockholders of the Issuer following June 11, 2026 or (ii) June 11, 2027, subject to the Reporting Person's continued service to the Issuer through the applicable vesting date.
- F2The securities reported herein are held by certain funds and accounts for which Greenoaks LLC ("Greenoaks") serves as the investment adviser and related persons or entities, including certain estate planning vehicles of the Reporting Person, who serves as a Managing Partner of Greenoaks.
