Explanation of responses
- F1On June 18, 2026, the Reporting Person was granted 794,393 Restricted Stock Units ("RSUs") as part of the annual compensation package for serving as a director of the Company. Each RSU represents a contingent right to receive one share of Class A common stock of CXApp Inc. The RSUs will vest in full on the first anniversary of the grant date, provided that the Reporting Person continues to serve as a director of the Company through such date.
