Explanation of responses
- F1Represents a sale pursuant to a Rule 10b5-1 trading plan entered into by the Reporting Person on November 19, 2025 (the "10b5-1 Plan"). The 10b5-1 Plan is scheduled to terminate on March 31, 2027, and covers the sale of up to an aggregate of 140,000 shares of the Issuer's common stock. The remaining shares covered by the 10b5-1 plan are at a limit price that exceeds the most recent Nasdaq closing price. Trading under the 10b5-1 Plan did not commence until at least 90 days following the date on which the plan was entered. This sale was effected in connection with tax planning, and the proceeds from the transaction are being used to help satisfy tax obligations of the Reporting Person.
