Explanation of responses

F1On June 13, 2025 (the "Grant Date"), the reporting person was granted a Restricted Stock Unit grant for 750,000 shares of common stock (the "2025 RSU"). Each restricted stock unit represented a contingent right to receive one share of issuer's common stock. The 2025 RSU vested with respect to 25% of the underlying shares on June 13, 2026, and 6.25% has vested and shall vest at the end of each three-month period following the first anniversary of the Grant Date, such that 100% shall be vested on the fourth anniversary of the Grant Date.
F2The reporting person is the managing member of Jemmett Enterprises, LLC. The reporting person disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein, and the inclusion of these shares in this report shall not be deemed an admission of beneficial ownership of all of the reported shares for purposes of Section 16 or for any other purpose.
