Explanation of responses
- F1Represents an award of restricted stock units ("RSUs") granted on June 30, 2026 pursuant to an incentive award letter agreement. The RSUs will vest upon the earlier of (i) June 30, 2027 or (ii) termination of employment by the Issuer without cause or by the reporting person for good reason, subject to the reporting person's continued employment with the Issuer on the vesting date. Each RSU represents a contingent right to receive one share of the Issuer's common stock.
