- F1Represents an award of restricted stock units granted under the Second Amended and Restated Non-Employee Director Compensation Policy, which will vest 100% on 6/05/2027, subject to continued service on the Issuer's Board of Directors through such date. Each restricted stock unit will convert into one share of the Issuer's common stock upon vesting.
- F2Represents shares of Common Stock held by ThoughtValley L.P. ("ThoughtValley"). Mr. Nichols is the sole member and manager of ThoughtValley, LLC, which is the sole general partner of ThoughtValley.
