(the "Issuer") on the earlier of August 13, 2027 or the date of the Issuer's 2027 annual meeting of stockholders, subject to the Reporting Person's service through such date. The Reporting Person holds the RSUs for the benefit of, and is obligated to transfer the shares of Common Stock received in settlement thereof to, CD&R Channel Holdings, L.P. or an affiliate thereof, and the Reporting Person therefore disclaims beneficial ownership of the reported securities.
