The shares were received by the reporting person on October 29, 2018, pursuant to a pro rata dividend distribution by Honeywell International Inc. ("Honeywell") to its stockholders of record as of October 16, 2018 of one share of Resideo common stock, par value $0.001 per share, for every six shares of Honeywell common stock, par value $1.00 per share, held by each holder to effect the legal and structural separation of Resideo from Honeywell.
