Explanation of responses
- F1Represents an exchange of Class B Common Stock on a one-for-one basis into shares of Class A Common Stock (the "Exchange"). The Exchange was made in connection with the Issuer's public offering of common stock described in the Issuer's Registration Statement on Form S-1 initially filed with the Securities and Exchange Commission on March 4, 2019 (the "Offering") and is permitted by the terms of the lock-up agreement entered into in conjunction with the Offering.
- F2The shares are held of record by AREO Ventures, LLC, of which the Reporting Person is a manager.
- F3The shares of Class B Common Stock (i) confer no incidents of economic ownership on the holders thereof and (ii) only confer one-to-one voting rights on the holders thereof. Each share of Class B Common Stock is exchangeable for one share of Class A Common Stock at the option of the holder (for which the Issuer may substitute cash) and has no expiration date.
