F1The Reporting Person has the right, at his option, at any time, to convert the principal amount of the Note, and any accrued interest, into shares of common stock of the Issuer; provided, however, the Reporting Person does not have the right to convert any portion of the Note if he (together with his affiliates) would beneficially own in excess of 4.99% of the number of shares of the Issuer's common stock outstanding immediately after giving effect to the conversion. The Reporting Person has the right to waive the foregoing conversion limitation, in whole or in part, upon and effective after 61 days prior written notice to the Issuer.
