Explanation of responses
- F1In connection with the Issuer's initial public offering, the Reporting Person acquired, at a price of $10 per unit, 30,000 units. Each unit consists of one share of common stock and one-third of one warrant.
- F2Includes up to 3,913 shares subject to forfeiture by the Reporting Person depending on the extent to which the underwriters' option to purchase additional units is exercised.
