(the "Issuer"), Stone, Talos Energy LLC, Saiflish Merger Sub Corporation, a direct wholly owned subsidiary of the Issuer ("Merger Sub"), and Talos Production LLC, whereby Merger Sub merged with and into Stone, with Stone surviving the merger as a direct wholly owned subsidiary of the Issuer.
