Explanation of responses
- F1The Class B ordinary shares will automatically convert into Class A ordinary shares (or Class C ordinary shares, at the election of the holder) at the time of the issuer's initial business combination, as described in the section entitled "Description of Securities" in the issuer's Form S-1 as filed with the Securities and Exchange Commission on January 5, 2018. One-third of the registered securities are subject to forfeiture if certain earnout targets are not met.
- F2The Class B ordinary shares (or any Class A ordinary shares or Class C ordinary shares received upon a conversion of such Class B ordinary shares in connection with the issuer's initial business combination) will vest as to one-third of the award at the time of the issuer's initial business combination and the remaining two-thirds of the award will vest in equal installments on the first two anniversaries of the issuer's initial business combination date.
