- F1In connection with the secondary offering of the Issuer's common stock by certain selling stockholders pursuant to an underwriting agreement (the "Underwriting Agreement") and prospectus supplement, each dated May 16, 2018 (the "Secondary Offering"), McKnight Holdings, LLC sold shares of the Issuer's common stock in the amount shown in the above table. The Secondary Offering closed on May 21, 2018.
