However, Mr. Hooper may be deemed to beneficially own shares of common stock of the issuer as a result of his position as a Managing Director of Merging Traffic Investments, LLC, which owns membership interests of I-AM Capital Partners LLC, the issuer's sponsor (the "Sponsor"). Mr. Hooper disclaims beneficial ownership over any of the issuer's securities owned by the Sponsor in which Merging Traffic Investments, LLC does not have any pecuniary interest.
