Explanation of responses
- F1Represents an award of restricted stock units (RSUs), which vests in full on the one-year anniversary of the grant date; provided that, if (i) Reporting Person will not stand for re-election to continue to serve on the Board following the date of the Issuer's next annual meeting of stockholders following the grant date and (ii) the next annual meeting date is earlier than the one-year anniversary of the grant date, then the RSUs will vest on the next annual meeting date. The RSUs will be settled in shares of the Issuer's common stock upon vesting.
