(the "Issuer") sold by Capitol Acquisition Founder 3 LLC pursuant to the offering of ordinary shares of the Issuer on Form S-3 as contemplated by that certain underwriting agreement, dated September 12, 2018, among the Issuer, Capitol Acquisition Founder 3 LLC and the other selling shareholders named therein, and Deutsche Bank Securities Inc., Citigroup Global Markets Inc. and Goldman Sachs & Co. LLC as representatives of the several underwriters named therein. The selling price of such shares was $15.44 per share, which represents the price to public less the underwriting discount and commission.
