Explanation of responses
- F1Represents ordinary shares of Cision Ltd. (the "Issuer") sold by Capitol Acquisition Founder 3 LLC pursuant to the offering of ordinary shares of the Issuer on Form S-1 as contemplated by that certain underwriting agreement, dated June 14, 2018, among the Issuer, Capitol Acquisition Founder 3 LLC and the other selling shareholders named therein, and Deutsche Bank Securities Inc., as representative of the several underwriters named therein. The selling price of such shares was $14.4525 per share, which represents the price to public less the underwriting discount and commission.
- F2Mr. Dryden is the managing member of Capitol Acquisition Founder 3 LLC.
