Mr. Dickey owns 100% of Modern Media, LLC and, as such, he may be deemed to beneficially own the shares beneficially owned by Modern Media, LLC or owned by the Sponsor. Mr. Dickey disclaims such beneficial ownership except to the extent of his pecuniary interest therein.
