Explanation of responses
- F1On the date hereof, Mr. McGovern owns 2,853.222 shares of common stock of Goldman Sachs Middle Market Lending Corp. (the "Company"). In addition, on September 10, 2018, the Company issued a capital call notice to its holders of common stock. Pursuant to such capital call notice, Mr. McGovern is obligated to make a capital contribution of $15,000 on September 17, 2018 out of his $100,000 aggregate capital commitment to the Company, and the Company is obligated to issue shares of common stock to Mr. McGovern, provided such capital contribution is funded timely. As of the date of this filing, the number of additional shares of common stock that will be issued to Mr. McGovern in respect of this $15,000 capital contribution is unknown. Mr. McGovern will amend this Form 4 once the number of shares of common stock has been determined.
