Explanation of responses
- F1Mr. Bradley, as an officer and member of the board of directors of EOS Technology Holdings Inc. ("EOS"), may be deemed to share voting and investment power over shares of common stock beneficially owned by EOS. Pursuant to a Letter Agreement dated July 29, 2026, EOS may elect to receive shares of Common Stock in lieu of cash in satisfaction of a quarterly earnout payment obligation owed by the issuer to EOS. If EOS subsequently distributes any such shares to its shareholders, the number of shares reported herein as indirectly beneficially owned by Mr. Bradley through EOS would decrease to reflect the reduction in EOS's holdings. Such a decrease would result from the distribution by EOS and would not necessarily indicate that Mr. Bradley sold shares in an open market transaction.
