- F1Pursuant to the Business Combination Agreement, dated as of June 14, 2016 (the "BCA"), by and among the Issuer, FMC Technologies, Inc. ("FMCTI") and Technip S.A. ("Technip"), each share of FMCTI common stock beneficially owned by the Reporting Person at the effective time of the transactions contemplated by the BCA was exchanged for 1.00 ordinary share of the Issuer.
- F2These shares are held in trust for the benefit of the reporting person's children. The reporting person's spouse is trustee of the trust. The reporting person disclaims beneficial ownership of these securities, and the filing of this report is not an admission that the reporting person is the beneficial owner of these securities for purposes of Section 16 or for any other purpose.
