Explanation of responses
- F1These securities were issued in connection with reorganization of a predecessor private fund into the issuer. ES Capital Management LLC ("ESCM") and CMBS Credit Opportunities Manager, LLC ("CCOM") are affiliated persons of Talimco, LLC, a registered investment advisor and sub-advisor to the Issuer ("Talimco"). ESCM, CCOM and Talimco are owned and controlled, directly or indirectly, by Edward L. Shugrue III. The beneficiaries of Shugrue Family 2012 Trust include the family of Mr. Shugrue. The 996,947 Shares of Beneficial Interest reported herein represent the aggregate holdings of ESCM, CCOM and Talimco which report direct beneficial ownership of 806,139, 134,873 and 55,935 shares, respectively.
- F2As a result of their association with each other, the Reporting Persons may be deemed to constitute a group within the meaning of section 13(d)(3) of the Act. Neither the joint filing of this Form 3 nor any of its contents shall be deemed to constitute an admission that any of the Reporting Persons and their direct or indirect owners is, for any other purpose, the beneficial owner of any of the Shares of Beneficial Interest other than the shares reported in the table above as beneficially owned by it (the "Reported Shares"), and each of the Reporting Persons and their direct or indirect owners disclaims beneficial ownership as to the Shares of Beneficial Interest reported herein other than the Reported Shares for purposes of Sections 13(d) and Section 16 of the Act, except to the extent of its pecuniary interests therein.
