Explanation of responses
- F1These 2,335 shares of Common Stock were acquired upon the vesting of 2,335 restricted stock units on December 18, 2017 pursuant to the terms of the Employee Matters Agreement between Overseas Shipholding Group, Inc. and International Seaways, Inc. ("INSW"). In connection with the vesting of the units, 846 shares were withheld by INSW in payment of the Reporting Person's tax withholding liability incurred as a result of the vesting of the units. This form is being amended from the previously filed version to correct the number of shares withheld for tax payments.
- F2These restricted stock units vested on December 18, 2017 and were settled in shares of Common Stock as reported in Table I of this Form 4.
