Explanation of responses
- F1Represents deferred stock units granted, pursuant to the Reporting Person's election, in lieu of the annual restricted stock unit award to non-employee directors for service on the Company's board of directors (the "Board"). The deferred stock units vest on the earlier of (i) the one-year anniversary of the grant date or (ii) the date of the Company's next annual shareholders meeting, in each case subject to continued service on the Board. Pursuant to the Reporting Person's election, once vested the settlement of these deferred stock units will be deferred until the earlier of the Reporting Person's termination of board service and a change in control of the Company.
