Explanation of responses
- F1In connection with the merger of Conyers Park Acquisition Corp. (the "Issuer") with and into a subsidiary of The Simply Good Foods Company ("SGFC"), and a series of related transactions (collectively, the "Business Combination"), the Reporting Person exchanged her Class A common stock, par value $0.0001 per share, and her Class B common stock, par value $0.0001 per share, of the Issuer and for common stock, par value $0.01 per share, of SGFC. Upon consummation of the Business Combination, the Reporting Person will no longer be subject to the reporting requirements of Section 16 with respect to the Issuer's securities.
