- F1On February 14, 2018, 207,075 shares of Common Stock directly owned by CD&R Allied Holdings, L.P. were distributed to certain investment professionals who are direct and indirect limited partners of CD&R Associates VIII, L.P., the sole stockholder of the general partner of CD&R Allied Holdings, L.P., in connection with certain charitable gifts made by such investment professionals on February 14, 2018.
- F2Following the transaction reported herein, CD&R Allied Holdings, L.P. ("CD&R Holdings") directly owns 13,027,763 shares of Common Stock. CD&R Associates VIII, Ltd., as the general partner of CD&R Holdings, CD&R Associates VIII, L.P., as the sole stockholder of CD&R Associates VIII, Ltd., and CD&R Investment Associates VIII, Ltd., as the general partner of CD&R Associates VIII, L.P., may each be deemed to beneficially own the shares of Common Stock held by CD&R Holdings.
