Explanation of responses
- F1Pursuant to a Scheme of Reconstruction ("Scheme") effected pursuant to the laws of England and Wales, effective September 26, 2016, Ecofin Water & Power Opportunities plc - in liquidation ("EWPO") ceased to be a shareholder of EFR Guernsey Holding Limited ("EFR"), and is in members voluntary liquidation pursuant to the terms of the Scheme. As a result, effective as of September 26, 2016, EWPO is no longer deemed to be the beneficial owner of 4,174,259 shares of the Issuer's Class A Voting Common Stock ("Shares") held directly by EFR. EWPO expressly disclaims any pecuniary interest and beneficial ownership over such Shares, and the filing of this Form 4 shall not be construed as an admission that EWPO is the beneficial owner of any of the Shares.
