Explanation of responses
- F1Theses shares represent restricted stock units ("RSUs") and will be settled in common stock upon vesting. Subject to continued employment with the company through the vesting date, one third of the RSUs vest on October 1, 2018, one third vest on October 1, 2019, and one third vest on October 1, 2020. Upon a change in control of the company, as defined in the Versum Materials Inc. Long-Term Incentive Plan, each restricted stock unit would be converted into a right to receive cash equal to the price paid for one share of the company's common stock in the change in control transaction plus interest through the vesting date.
