- F1Includes 7,567 Restricted Stock Units ("RSUs"), each of which represents a contingent right to receive one share of HTZ Common Stock, that will vest on the earliest to occur of (1) the business day immediately preceding the Issuer's 2019 annual meeting, (2) the date that the Reporting Person ceases to be a director or (3) a Change in Control (as defined in Exhibit 99.1 of the Issuer's Registration Statement on Form S-8 filed as of June 24, 2016).
