In connection with German American Capital Corporation's election to convert all of its units of limited liability company interest in Station Holdco LLC and shares of Class B Common Stock of Red Rock Resorts, Inc. and Red Rock Resorts, Inc.'s decision to convert such units into 19,622,678 shares of Class A Common Stock, German American Capital Corporation effected a sale, through Deutsche Bank Securities Inc., in the market of the 19,622,678 shares on November 10, 2016 and such sale was fully settled on November 16, 2016 only upon German American Capital Corporation's receipt, through Deutsche Bank Securities Inc. as its agent, of the 19,622,678 shares of Class A Common Stock from Red Rock Resorts, Inc. This Form 4 is being filed in connection with such transaction.
