- F1Represents 15,378 Class A shares owned by Resource REIT Advisor, LLC. The reporting person disclaims beneficial ownership except to the extent of his pecuniary interest therein, and the inclusion of these securities in this report shall not be deemed an admission of beneficial ownership of purposes of Section 16 or for any other purposes.
- F2Resource REIT Advisor, LLC, of which the reporting person is the President and on the board of managers, holds 50,000 shares of convertible stock, which is convertible into shares of Class A common stock upon (a) the Company having paid distributions to common stockholders that in the aggregate equal 100% of the price at which the Company originally sold the shares plus an amount sufficient to produce a 6% cumulative, non-compounded annual return on the shares at that price; or (b) if the Company lists its common stock on a national securities exchange or consummates a merger pursuant to which consideration received by the stockholders is securities of another issuer that are listed on a national securities exchange.
