F1The reported transactions reflect the transfer by M III Sponsor I LLC of 54,505 shares of common stock and 10,000 warrants of Infrastructure and Energy Alternatives, Inc. (f/k/a M III Acquisition Corp.) (the "Issuer") to M III Sponsor I LP pursuant to an agreement dated September 13, 2016. Due to an administrative oversight, the reported transaction was not reflected on the books and records of the Issuer at the time.
F2The shares of common stock were transferred for $100,296.70 in the aggregate.
F3Mr. Mohsin Y. Meghji was, at the time of the reported transactions, the sole shareholder of M III Acquisition Partners I Corp. and M III Acquisition Partners I Corp. was, at the time of the reported transaction, the general partner of M III Sponsor I LP. Mr. Meghji was at the time of the reported transactions and continues to be the sole managing member of M III Acquisition Partners I LLC, which is the sole managing member of M III Sponsor I LLC. Mr. Meghji had sole voting and dispositive control over securities held by M III Sponsor I LLC and M III Acquisition Partners I Corp. at the time of the reported transaction, and therefore may have been deemed to share beneficial ownership of the securities held by M III Sponsor I LLC and M III Sponsor I LP.
F4Mr. Meghji disclaims beneficial ownership over any securities reported herein in which he does not have any pecuniary interest. On March 26, 2018, Mr. Meghji transferred the stock of the general partner of M III Sponsor I LP to an affiliate of the limited partner of M III Sponsor I LP and ceased to have beneficial ownership over any securities held by M III Sponsor I LP.
