Explanation of responses
- F1The transaction reported on this Form relates to the spin-off of the Issuer from the Reporting Person effective November 9, 2015 (the "Spin-Off"). To effect the Spin-Off, the issued and outstanding common stock of the Issuer, consisting of 10 shares of common stock prior to the Spin-Off, was recapitalized into 42,741,995 shares of the Issuer's common stock ("FCPT Common Stock"). Shares of FCPT Common Stock were distributed, by means of a pro rata dividend, to the holders of the Reporting Person's common stock. The Reporting Person did not receive any shares of FCPT Common Stock in the Spin-Off.
