Explanation of responses
- F1Pursuant to a reclassification exempt under Rule 16b-7, each share of Class B common stock was reclassified and exchanged into 1.31 shares of Class A common stock (the "Reclassification").
- F2Reported as of 6/12/2017 after effectiveness of the Reclassification, which is the time the reporting person ceased to be subject to Section 16. Prior to that time, the reporting person was a party of the Ratner, Miller & Shafran Shareholders Agreement, dated 12/20/2013 (the "Agreement"). As a result of the terms of the Agreement and the beneficial ownership of all parties thereto, the reporting person may have been deemed to be a member of a "group", within the meaning of Section 13(d)(3) of the Securities Exchange Act of 1934, that owned more than 10% of the outstanding shares of Class B common stock prior to the Reclassification.
