Explanation of responses
- F1As previously disclosed by NorthStar Realty Europe Corp. ("NRE"), these awards were granted in connection with the spin-off of NRE from NorthStar Realty Finance Corp. on October 31, 2015.
- F2Each restricted stock unit represents a contingent right to receive one share of common stock of NRE.
- F3The restricted stock units will vest in full if the total stockholder return from the grant date through December 31, 2019 equals or exceeds 15% per year, compounded annually, and vest in part if the total stockholder return during this period is equal to 8% per year, compounded annual, or greater. If earned, each restricted stock unit will be settled in shares of common stock of NRE. These restricted stock units will expire and cease to exist following settlement.
