Explanation of responses
- F1Represents an award of restricted stock units (RSUs) pursuant to the CSRA 2015 Non-Employee Director Incentive Plan in a transaction exempt under Rule 16b-3. The RSUs will vest and convert into shares of common stock on a one-to-one basis on the earlier of February 26, 2019 and the date of the issuer's 2019 annual meeting of stockholders. Pursuant to the CSRA Non-Employee Director Deferred Compensation Plan, the reporting person has elected to receive the shares within 30 days of the termination of the reporting person's service on the issuer's board of directors.
