Explanation of responses
- F1Pursuant to the Directors Deferred Compensation Plan for Outside Directors, the reporting person has elected to defer receipt of the shares; the shares will be issued to the reporting person in ten equal annual installments beginning the later of August 8, 2022 or the termination of her service on the issuer's board of directors.
