Explanation of responses
- F1(1) This option will vest based upon achievement of a closing price per share of the issuer's common stock for a period of at least 20 consecutive trading days, disregarding the six-month period immediately following the date of grant, as follows: (i) 25% upon at least $25.75 per share, (ii) 50% upon at least $28.60 per share, (iii) 75% upon at least $31.48 per share and (iv) 100% upon at least $34.33 per share, subject to the reporting person's continued employment with the issuer through the applicable vesting date.
