Explanation of responses
- F1On July 1, 2018 Mr. Sumichrast contributed 150,000 shares of the issuer's common stock held by him individually to Washington Capital, LLC, a limited liability company of which he is the manager, in exchange for membership interests in this entity. After this transaction, the number of shares beneficially owned by Mr. Sumichrast included (i) 325,834 shares held of record by Stone Street Partners, LLC and (ii) 420,600 shares held of record by Washington Capital LLC. Mr. Sumichrast in his position at Stone Street Partners, LLC has the right to direct the vote and disposition of securities owned by Stone Street Partners, LLC. Mr. Sumichrast has voting and dispositive control over securities owned by Washington Capital LLC. Mr. Sumichrast disclaims beneficial ownership of the securities held of record by each of these entities except to the extent of his pecuniary interest therein.
- F2On July 1, 2018 Washington Capital LLC transferred 150,000 shares of the issuer's common stock to Stone Street Partners, LLC. The number of shares beneficially owned by Mr. Sumichrast includes (i) 475,834 shares held of record by Stone Street Partners, LLC and (ii) 270,600 shares held of record by Washington Capital LLC. Mr. Sumichrast in his position at Stone Street Partners, LLC has the right to direct the vote and disposition of securities owned by Stone Street Partners, LLC. Mr. Sumichrast has voting and dispositive control over securities owned by Washington Capital LLC.
