Explanation of responses

F1On June 17, 2016, Armada Enterprises GP, LLC ("Armada") acquired for $200,000 (at a price of $0.10 per share of Common Stock and at no cost per warrant) from third parties (i) 2,000,000 shares of Common Stock, (ii) 401,000 Class A Warrants to purchase 401,000 shares of Common Stock at an exercise price of $4.00 per share, (iii) 401,000 Class B Warrants to purchase 401,000 shares of Common Stock at an exercise price of $5.00 per share, (iv) 401,000 Class C Warrants to purchase 401,000 shares of Common Stock at an exercise price of $6.00 per share, (v) 401,000 Class D Warrants to purchase 401,000 shares of Common Stock at an exercise price of $7.00 per share, and (vi) 401,000 Class E Warrants to purchase 401,000 shares of Common Stock at an exercise price of $8.00 per share (collectively, referred to herein as the "Securities").
F2Salvor Management, LLC ("Salvor") is a member of Armada. George Wight ("Mr. Wight") is (i) the sole member and sole manager of Salvor and controls Salvor's activities and (ii) the managing general partner of Armada. Salvor and Mr. Wight are collectively referred to herein as the "Reporting Persons". Reporting Persons may be deemed to have indirect beneficial ownership of the Securities. Reporting Persons disclaim beneficial ownership of the Securities except to the extent of their pecuniary interest therein.
F3On August 19, 2016, BIM Homes, Inc. and Armada entered into amendments to the foregoing warrants to solely extend the expiration date of the warrants from August 30, 2016 to August 30, 2017.
F4On September 12, 2016, Armada assigned for $0 (at price of $0 per warrant) to a third party (i) 833 of the Class A Warrants to purchase 833 shares of Common Stock at an exercise price of $4.00 per share, (ii) 833 of the Class B Warrants to purchase 833 shares of Common Stock at an exercise price of $5.00 per share, (iii) 833 of the Class C Warrants to purchase 833 shares of Common Stock at an exercise price of $6.00 per share, (iv) 833 of the Class D Warrants to purchase 833 shares of Common Stock at an exercise price of $7.00 per share, and (v) 833 of the Class E Warrants to purchase 833 shares of Common Stock at an exercise price of $8.00 per share.
F5Armada has reported the change to its direct beneficial ownership due to the assignments of warrants reported herein on a separate Form 4.
