- F1The shares of the registrant's common stock reported herein were acquired upon the exercise on January 24, 2019 by the named officer of derivative securities received on that date by the named officer pursuant to his employment agreement, and the conversion, of the shares of the registrant's Series A convertible preferred stock acquired thereof, into shares of common stock. Of these shares, (a) 11,470,620 shares of common stock are held by a trust for the benefit of the named officer's family and (b) 2,000,000 shares are held by children of the named officer. The named officer is deemed to have beneficial ownership of all the shares acquired on the transaction date.
